1. Acceptance of these Terms
These Terms of Use (the "Terms") govern your access to and use of the GaussIQ website, content, forms, pages, communications, and other online resources that link to these Terms (collectively, the "Site"). The Site is operated by GaussIQ Inc. ("GaussIQ," "we," "us," or "our").
By accessing or using the Site, you agree to these Terms. If you access or use the Site on behalf of a company, organization, or other legal entity, you represent that you have the authority to bind that entity to these Terms, and “you” refers to that entity where applicable.
2. Scope and related agreements
These Terms apply to public website use and general online interactions with GaussIQ. They do not replace any signed agreement between GaussIQ and a customer, design partner, investor, vendor, employee, contractor, or other counterparty.
If you or your organization enters into a written agreement with GaussIQ, including a nondisclosure agreement, proof-of-value agreement, master services agreement, subscription agreement, data processing agreement, statement of work, or order form, that agreement will control to the extent it conflicts with these Terms.
3. Use of the Site
You may use the Site for lawful business purposes, including learning about GaussIQ, contacting us, exploring design partner or investment opportunities, applying for roles, and reviewing our publicly available materials.
You are responsible for ensuring that your use of the Site complies with applicable law and these Terms. You may not use the Site in a way that interferes with its operation, compromises security, violates rights, or causes harm to GaussIQ or others.
4. Accounts, credentials, and authorized access
The public Site may not require an account. If GaussIQ provides access to a portal, sandbox, demo environment, private workspace, shared repository, or other restricted resource, you must keep credentials confidential, use access only as authorized, and promptly notify us of any suspected unauthorized access.
You are responsible for activity that occurs through credentials issued to you or your organization, except to the extent caused by GaussIQ's failure to maintain reasonable security measures.
5. Restrictions
You agree not to:
- use the Site or any GaussIQ content for unlawful, harmful, deceptive, infringing, or abusive purposes;
- copy, scrape, crawl, index, harvest, or extract Site content using bots, spiders, automated tools, or other methods except as permitted by standard search engine indexing;
- probe, scan, test, or attempt to bypass security, authentication, rate limits, or access controls;
- reverse engineer, decompile, disassemble, or attempt to derive source code, models, systems, or non-public methods;
- interfere with, overload, damage, or disrupt the Site or related systems;
- misrepresent your identity, affiliation, authorization, or relationship with GaussIQ;
- remove, alter, or obscure proprietary notices, trademarks, or attribution;
- use GaussIQ names, logos, marks, or content in a way that implies endorsement without written permission;
- upload, transmit, or introduce malware, malicious code, or harmful content;
- violate applicable law or encourage others to do so.
6. AI-enabled features and outputs
GaussIQ is developing execution intelligence capabilities for enterprise support. If we make AI-enabled features, prototypes, demos, recommendations, analyses, or outputs available through the Site or a limited evaluation, those features may be experimental, probabilistic, and dependent on the quality and context of the data provided.
Unless otherwise agreed in writing, AI-enabled outputs are provided for evaluation, informational, and decision-support purposes only. You are responsible for reviewing outputs, applying appropriate human judgment, and determining whether outputs are suitable for your intended use.
Do not use GaussIQ outputs as the sole basis for decisions that require legal, financial, medical, employment, safety, or similarly sensitive determinations unless a separate written agreement expressly permits such use and appropriate review controls are in place.
7. Privacy and data
Our Privacy Policy explains how we collect, use, disclose, and protect personal information. By using the Site, you acknowledge our Privacy Policy.
Customer data, design partner data, confidential information, and enterprise support data are governed by the applicable written agreement, not solely by these public website Terms.
8. Ownership and intellectual property
The Site and its content, including text, graphics, designs, logos, icons, images, code, documentation, product concepts, and other materials, are owned by GaussIQ, licensed to GaussIQ, or otherwise used with permission, and are protected by applicable intellectual property laws.
Subject to these Terms, GaussIQ grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Site for lawful business purposes. We reserve all rights not expressly granted.
9. Feedback
If you provide comments, suggestions, ideas, requests, proposals, or other feedback about GaussIQ, our Site, products, services, or roadmap ("Feedback"), you grant GaussIQ a perpetual, irrevocable, worldwide, royalty-free right to use, disclose, reproduce, modify, create derivative works from, and otherwise exploit that Feedback without restriction or compensation.
Do not provide Feedback that you consider confidential unless it is covered by a written confidentiality agreement with GaussIQ.
10. Third-party services and links
The Site may contain links to third-party websites, platforms, tools, or resources. GaussIQ does not control and is not responsible for third-party content, products, services, security, or privacy practices. Your use of third-party resources is at your own risk and may be subject to separate terms.
11. Evaluations, pilots, proofs of value, and beta offerings
GaussIQ may provide demos, prototypes, design partner access, pilot programs, sandbox access, proofs of value, alpha or beta features, or other pre-release offerings. Unless otherwise agreed in writing, these offerings are provided for evaluation only, may change or be discontinued at any time, may contain errors, and may not be suitable for production use.
Access to non-public materials or environments will be subject to a separate written agreement, which may include usage and other restrictions with respect to confidentiality, security, data handling.
12. Paid services, subscriptions, and commercial terms
Public website access is currently provided without charge. If GaussIQ offers paid services, subscriptions, professional services, or other commercial offerings, fees, payment terms, renewal terms, cancellation rights, usage limits, service levels, support commitments, and other commercial terms will be set out in a separate written agreement or order form.
13. Disclaimers
THE SITE AND ANY PUBLICLY AVAILABLE CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, GAUSSIQ DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND RELIABILITY.
GaussIQ does not warrant that the Site will be uninterrupted, error-free, secure, or free from harmful components, or that content will be accurate, complete, or current.
14. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GAUSSIQ AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SERVICE PROVIDERS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, OR USE, ARISING OUT OF OR RELATED TO THE SITE OR THESE TERMS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GAUSSIQ'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100) OR THE AMOUNT YOU PAID GAUSSIQ FOR USE OF THE SITE IN THE TWELVE MONTHS BEFORE THE CLAIM, WHICHEVER IS GREATER.
15. Indemnity
You agree to defend, indemnify, and hold harmless GaussIQ and its affiliates, officers, directors, employees, agents, service providers, and licensors from and against claims, losses, liabilities, damages, costs, and expenses, including reasonable attorneys' fees, arising from or related to your use of the Site, violation of these Terms, violation of law, or infringement or misappropriation of third-party rights.
16. Suspension and termination
GaussIQ may suspend, restrict, or terminate access to the Site or any non-public resource at any time if we believe your use violates these Terms, creates risk, may harm GaussIQ or others, or is otherwise inappropriate. You may stop using the Site at any time.
Sections that by their nature should survive termination will survive, including ownership, restrictions, feedback, disclaimers, limitation of liability, indemnity, governing law, and general terms.
17. Governing law and venue
Unless a separate written agreement states otherwise, these Terms are governed by the laws of the State of Delaware and applicable U.S. federal law, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Site will be brought exclusively in the state or federal courts located in New Castle County, Delaware, unless applicable law requires otherwise.
18. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date and may provide additional notice where appropriate. Your continued use of the Site after changes take effect means you accept the updated Terms.
